Friends of the Library Bylaws
BY-LAWS OF FRIENDS OF THE VIROQUA PUBLIC LIBRARY, INC.
ARTICLE I
ORGANIZATION AND MANAGEMENT
The corporation shall be managed by its Board of Directors. The Board of Directors shall have the control and management of the affairs, business, and property of the corporation, all of the rights and privileges legally exercisable by the corporation as provided by law, the Articles of Incorporation and these Bylaws.
ARTICLE II
MEMBERS
Section A. There shall be the following classes of membership:
Active. The active membership consists of those individuals who are not delinquent in the payment of dues.
Honorary. The Honorary membership shall include the Mayor of the City of Viroqua, and such other persons so recognized by the Board of Directors.
Section B. Dues for active membership shall be as follows, or as hereafter set by the Board of Directors. Dues shall be paid by February 15th.
Annual amount:
Individual membership $10.00
Family membership $15.00
Supporting membership $25.00-$49.00
Patron membership $50.00-$99.00
Benefactor membership $100.00-$499.00
Life membership: a one-time payment of $500.00 or more.
ARTICLE III
MEETINGS OF THE MEMBERS
Section A: The members shall meet annually in October of each year, for the election of Directors and such other business as may come before the meeting. Written notice of the date, time, and place of the annual meeting shall be given to active members by mail postmarked at least two weeks prior to such meeting.
Section B: Special meetings of the members may be called by or at the request of the President or by one-third of the members.
Section C: Two thirds of the active members attending any meeting shall constitute a quorum and be required for confirmation of any matter.
ARTICLE IV
BOARD OF DIRECTORS
Section A: The Board of Directors shall consist of a minimum of 5 and no more than 9 directors, to be elected by the active members.
Section B: Any active member shall be eligible to serve as a director.
Section C: Each director hereafter elected shall serve for a period of three (3) years, and until the election and taking of office of a successor.
Section D: The Board of Directors may appoint a member to fill a vacancy on the Board.
Section E: A director shall disclose any conflict of interest. A director should abstain from voting on any matter in which his or her interest may impair his or her ability to serve the best interests of the corporation.
Section F: A director who fails to attend three consecutive meetings of the Board without just cause shall be deemed to have resigned and a successor may be appointed by the Board.
ARTICLE V
MEETINGS OF THE BOARD
Section A: The Board of Directors shall meet annually in October of each year at the same time set for the meeting of members, for the election of Directors and such other business as may come before the meeting.
Section B: Special meetings of the Board may be called by or at the request of the President or by any two directors.
Section C: A majority of the Board of Directors in office shall constitute a quorum and be required for confirmation of any matter.
ARTICLE VI
OFFICERS
Section A. The officers of the corporation shall be a President, Vice-President, Secretary, and Treasurer.
Section B. The officers shall be elected by the Board at the first monthly Board meeting following the annual meeting.
Section C. Only active members are eligible to serve as officers.
ARTICLE VII
FISCAL YEAR
The corporation shall adopt the calendar year as its fiscal year.
ARTICLE VIII
SEAL NOT REQUIRED
The corporation shall have no seal.
IN WITNESS WHEREOF, the Members and the Board of Directors of Friends of the Viroqua Public Library, Inc., have adopted the foregoing By-laws on the 28thday of October, 2010.
